Federal annual return — the basics
Who has to file a federal annual return?
Every corporation incorporated under the Canada Business Corporations Act (CBCA) must file an annual return with Corporations Canada each year — whether or not it did any business, made money, or has changed since last year. It is separate from your tax return: filing taxes with the CRA does not file your annual return.
When is it due?
The annual return is due within 60 days of your corporation’s anniversary date — the date it was incorporated, amalgamated, or continued federally. The deadline is the same date every year, so once you know your anniversary you know your deadline.
What happens if I miss it?
A corporation that fails to file can be dissolved by Corporations Canada — it loses its legal existence, and with it the right to operate, hold assets, or sue under that name.
